Bitcoin mining host Bitari filed to sell 4,285,715 shares at an expected $7 each, targeting $30,000,005 in gross proceeds. The preliminary S-1 says public buyers would own about 10% of the 43,085,715 shares outstanding after the base offering, AI Power X would retain 85.87% voting power, and new investors would face $6.31 per-share dilution against $0.69 of as-adjusted net tangible book value. Nasdaq has not approved the BIAI listing application, and the offering cannot close without that approval.
